1. About These Terms

These Terms of Service ("Terms") govern your use of the LocalBooster AI website at localboosterai.com.au and all services provided by Zynto Digital Labs Pty Ltd (ABN: 80 696 611 999), trading as LocalBooster AI ("LocalBooster AI", "we", "us", "our").

These Terms form a legally binding agreement between you ("Client", "you", "your") and LocalBooster AI. By using our services, you confirm that you have read, understood, and agree to these Terms.

2. Our Services

LocalBooster AI provides done-for-you AI-powered growth services for Australian local service businesses, including but not limited to:

• AI Voice Receptionist
• AI Website Chatbot
• AI Voice Chat Widget
• Website Design & Development
• Social Media Automation & Content Creation
• Google Reviews Management
• Local SEO
• Monthly Strategy Calls (select plans)

The specific services included in your subscription are outlined in your chosen plan at the time of sign-up. We reserve the right to modify, update, or improve our services at any time with reasonable notice.

3. Eligibility

To use LocalBooster AI services, you must:

• Be at least 18 years of age
• Be a registered business owner or authorised representative of a business
• Have a valid Australian Business Number (ABN) or be operating a legitimate business
• Provide accurate and complete information during sign-up

By subscribing, you confirm that all information you provide is truthful, accurate, and up to date.

4. Subscriptions & Billing

LocalBooster AI operates on a month-to-month subscription model. There are no lock-in contracts.

• Billing cycle: Subscriptions are billed monthly or annually (if annual plan selected) in advance
• Payment method: All payments are processed securely via Stripe
• Currency: All prices are in Australian Dollars (AUD) and include GST where applicable
• Failed payments: If a payment fails, we will attempt to retry. If payment remains unsuccessful after 7 days, your service may be suspended
• Price changes: We will provide 30 days' written notice of any price changes to existing subscribers

5. Cancellation Policy

You may cancel your subscription at any time — no penalties, no lock-in, no drama.

• Notice period: Cancellations must be received at least 7 days before your next billing date to avoid being charged for the following month
• Access after cancellation: You will retain access to your services until the end of your current paid billing period
• Annual plans: Cancellations on annual plans take effect at the end of the annual term

6. Refund Policy

Due to the nature of our done-for-you services (which involve significant setup time, AI training, and resource allocation), we operate a no-refund policy on subscription fees already paid.

Exceptions may be considered at our sole discretion in cases of:

• Significant service failure on our part that we are unable to resolve within a reasonable timeframe
• Duplicate billing errors

To request a refund consideration, contact us within 7 days of the charge at team@localboosterai.com.au.

7. Your Responsibilities

As a client of LocalBooster AI, you agree to:

• Provide accurate business information, login credentials, and access required for us to deliver services
• Respond to reasonable requests from our team in a timely manner
• Not use our services for any unlawful, deceptive, or harmful purpose
• Not attempt to reverse-engineer, copy, or resell any part of our platform or AI systems
• Ensure all content you provide to us (logos, images, business info) does not infringe third-party intellectual property rights
• Keep your account credentials secure and notify us immediately of any unauthorised access

8. Intellectual Property

Our IP: All content, branding, software, AI systems, workflows, and materials created by LocalBooster AI remain the intellectual property of Zynto Digital Labs Pty Ltd. You may not copy, reproduce, or distribute our materials without written permission.

Your IP: Any content, logos, images, or business materials you provide to us remain your property. By providing them, you grant us a non-exclusive licence to use them solely for the purpose of delivering your services.

Content we create for you: Website designs, social media content, and other deliverables created specifically for your business become your property upon full payment of the relevant subscription fees.

9. AI Services & Limitations

Our AI-powered services (voice receptionist, chatbot, voice chat widget) are designed to assist your business — not replace human judgement entirely. You acknowledge that:

• AI responses may occasionally be inaccurate, incomplete, or require human review
• We will train and configure the AI using information you provide — the quality of AI responses depends in part on the accuracy of information supplied
• You are responsible for reviewing AI interactions and notifying us of any issues
• LocalBooster AI is not liable for any loss arising from AI errors, misunderstandings, or missed interactions

10. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the service relationship. This includes business strategies, customer data, pricing, and proprietary processes.

We will never share your business information with competitors or third parties outside of what is required to deliver your services (as outlined in our Privacy Policy).

11. Limitation of Liability

To the maximum extent permitted by Australian law, LocalBooster AI's total liability to you for any claim arising from our services is limited to the total fees paid by you in the 3 months preceding the claim.

We are not liable for:

• Indirect, incidental, or consequential losses
• Loss of revenue, profits, or business opportunities
• Losses arising from third-party platform outages (Google, Meta, Stripe, GHL, etc.)
• Results not achieved — we provide tools and services but cannot guarantee specific business outcomes

Nothing in these Terms excludes any rights you may have under the Australian Consumer Law that cannot be excluded by contract.

12. Termination

Either party may terminate the service relationship at any time in accordance with the Cancellation Policy (Section 5).

We reserve the right to immediately suspend or terminate your account without notice if you:

• Breach these Terms of Service
• Engage in fraudulent, abusive, or illegal activity
• Fail to pay outstanding fees after reasonable notice
• Use our services in a way that damages our reputation or systems

Upon termination, your access to our platform and services will cease. We will provide you with any data or content that belongs to you within 14 days of termination upon request.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of New South Wales.

We encourage you to contact us directly to resolve any disputes before pursuing formal legal action. We are committed to resolving issues fairly and promptly.

14. Changes To These Terms

We may update these Terms from time to time. When we make material changes, we will notify active clients via email at least 14 days before the changes take effect.

Your continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.
